These Terms and Conditions form a legally binding agreement between Peace & Harmony Management LLC, a Pennsylvania limited liability company, and any individual or entity that accesses, purchases, engages, or uses any service, communication, material, or platform operated by the Company (the "Client," "you"). By accessing or using the services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
01Nature of Our Services
Peace & Harmony Management LLC ("Peace & Harmony," "we," "us," or "the Company") is a business operations firm providing two categories of service: (a) advisory and consulting services covering business scaling, systems strategy, operational design, organizational structure, and executive decision support; and (b) implementation and management services, including process mapping and documented standard operating procedures, CRM setup and cleanup, pipeline and workflow configuration, marketing and operational automation, team training, and ongoing back office management under a monthly partnership.
Peace & Harmony does not provide legal advice, financial advice, tax advice, accounting services, or investment advice, and does not act as a fiduciary. Nothing delivered under any engagement constitutes an opinion on the legality or regulatory compliance of the Client's business, offers, marketing, or communications.
The specific services, deliverables, timeline, and fees for any engagement are set out in the Client's signed proposal, statement of work, or service agreement (the "Engagement Agreement"). Where the Engagement Agreement conflicts with these Terms, the Engagement Agreement controls as to that conflict.
02Advisory Guidance & Client Responsibility
All guidance, recommendations, frameworks, tools, and strategies provided are based solely on the information disclosed by the Client and are intended to support informed decision making. The Client retains full control and responsibility for all decisions, actions, and outcomes related to the Client's business.
Where Peace & Harmony performs implementation work, the Company is responsible for building and configuring the systems described in the Engagement Agreement to a commercially reasonable professional standard. The Client remains responsible for reviewing and approving deliverables, for the business decisions those systems carry out, and for operating and maintaining the systems after handoff or after the engagement ends.
03No Guarantee of Results
04Execution & Assumption of Risk
While guidance and systems are designed to be executed as documented in order to maximize effectiveness, the Client acknowledges that even full and accurate execution does not guarantee outcomes. The Client assumes all risk associated with business decisions made before, during, and after the engagement.
05Access to Client Accounts, Systems & Credentials
Implementation and management services require the Client to grant Peace & Harmony access to Client owned software accounts, which may include the Client's CRM, marketing platform, email or messaging systems, scheduling tools, payment processor reporting, file storage, and similar business systems.
By granting access, the Client represents and warrants that it owns or is properly licensed to use those accounts, that it has the authority to grant access, and that granting such access does not violate any agreement between the Client and the platform provider or any third party.
Peace & Harmony will use the access solely to perform the services described in the Engagement Agreement. The Client agrees to provide access through the platform's own user, seat, or delegated access features wherever those features exist, rather than by sharing a password, and to enable available account security measures. The Client is responsible for maintaining its own account security, for the accuracy and lawfulness of the content it directs Peace & Harmony to publish or send, and for revoking access at the conclusion of the engagement. Peace & Harmony will cooperate promptly with any access revocation request.
06Client Data Within Client Systems
In performing implementation and management services, Peace & Harmony may access, organize, migrate, or otherwise handle data held in the Client's systems, including contact records belonging to the Client's own customers and leads ("Client Data"). As between the parties, the Client is and remains the owner and controller of all Client Data.
Peace & Harmony handles Client Data only on the Client's documented instructions and only as needed to deliver the services. Peace & Harmony does not sell Client Data, does not use it for its own marketing, and does not disclose it except to the Client, to subcontractors bound by comparable confidentiality obligations, or as required by law.
The Client is solely responsible for the lawfulness of the Client Data it supplies and for its own compliance obligations, including obtaining and documenting valid consent before any marketing message, SMS campaign, or email sequence is sent through systems Peace & Harmony builds or manages, and complying with the Telephone Consumer Protection Act, the CAN-SPAM Act, carrier and platform messaging policies, and any licensing or industry regulation applicable to the Client's business. Peace & Harmony builds and operates the mechanism; the Client owns the message, the list, and the consent behind it.
07Ownership of Work Product & Intellectual Property
All pre-existing and underlying intellectual property of Peace & Harmony, including its methodologies, frameworks, process libraries, templates, checklists, training materials, automation blueprints, documentation formats, and know how, remains the exclusive property of Peace & Harmony at all times.
Upon full payment of all amounts due for the applicable engagement, the Client owns the client specific deliverables produced for it, meaning the documented SOPs, process maps, pipeline structures, workflow configurations, and account settings built inside the Client's own platforms and populated with the Client's own business information. Peace & Harmony grants the Client a perpetual, non exclusive, non transferable license to use any Peace & Harmony template or framework embedded within those deliverables for the Client's internal business operations only.
The Client may not resell, sublicense, republish, distribute, or repackage Peace & Harmony materials, templates, or frameworks as its own product, program, or offer, and may not use them to deliver substantially similar services to third parties. Unauthorized reproduction or distribution may result in legal action.
Peace & Harmony retains the right to reuse its general knowledge, skills, and experience gained during any engagement.
08Scope, Change Requests & Client Responsiveness
The scope of each engagement is defined in the Engagement Agreement. Work requested outside that scope requires a written change order signed by both parties and may carry additional fees and a revised timeline. Verbal or informal requests do not modify scope.
Timelines assume reasonable Client cooperation. The Client agrees to supply requested information, access, approvals, and feedback within the timeframes stated in the Engagement Agreement or, if none is stated, within five (5) business days of request. If the Client fails to do so, timelines extend accordingly, and Peace & Harmony is not liable for resulting delays.
If a project remains stalled for lack of Client response for more than thirty (30) consecutive days, Peace & Harmony may close out the engagement, deliver the work completed to date, and treat the balance as earned. Restarting a closed out project may require a new agreement and a restart fee.
09Third Party Software & Subscription Costs
Services may require the Client to hold active subscriptions to third party platforms, which may include a CRM or marketing platform, automation tools, telephony or messaging providers, email sending services, and scheduling software. Unless the Engagement Agreement expressly states otherwise, all such subscription, usage, messaging, and overage costs are the Client's sole expense and are billed by those providers directly to the Client.
Peace & Harmony does not control third party pricing, feature availability, terms of service, or continued operation, and is not responsible for changes to any of them. Where Peace & Harmony builds within a platform the Client later cancels, the Client understands the associated deliverables may become inaccessible.
10Eligibility
You must be at least eighteen (18) years of age and have the legal authority to enter into a binding contract, on your own behalf or on behalf of the entity you represent, in order to use the services. By using the services, you represent and warrant that you meet these requirements.
11Fees, Payment & Refunds
All fees for consulting services, projects, retainers, programs, and engagements are due as agreed at the time of purchase or contract execution. Where a payment plan is offered, the full contract amount is owed regardless of whether the Client continues to use the services, and remaining installments continue to come due on schedule.
All payments are final and non refundable. Because services are booked against reserved capacity and delivery begins immediately upon engagement, refunds are not issued for dissatisfaction, change of mind, business changes, failure to execute, perceived lack of results, or early termination by the Client. This provision does not limit any right the Client may have under applicable law that cannot be waived by agreement.
Invoices not paid by the due date may accrue a late fee as stated in the Engagement Agreement, and Peace & Harmony may suspend work, pause account access, and withhold deliverables until the account is current, without liability.
12Recurring Billing, Cancellation & Term
Monthly partnerships and other recurring services are billed in advance on a recurring basis. By enrolling, the Client authorizes Peace & Harmony and its payment processors to charge the Client's payment method automatically at the agreed interval until cancelled in accordance with these Terms.
Recurring engagements automatically renew for successive billing periods unless cancelled. To cancel, the Client must give written notice to [email protected] at least thirty (30) days before the next billing date. Notice received fewer than thirty (30) days before the next billing date takes effect at the end of the following billing period, and that period is charged and delivered in full.
Any minimum term stated in the Engagement Agreement must be satisfied before cancellation takes effect. Cancellation stops future charges only. Amounts already billed are final and non refundable as described above. Upon cancellation, Peace & Harmony will deliver completed work product and cooperate in an orderly handoff of account access during the final paid period.
Peace & Harmony may adjust recurring rates with at least thirty (30) days' written notice, effective at the start of the next billing period.
13Chargebacks
If you believe a charge was made in error, you agree to contact Peace & Harmony first at [email protected] so the matter can be resolved. Because payments are final and non refundable, initiating a chargeback, payment dispute, or reversal with your bank or card provider without first contacting us, or after services or digital products have been delivered, constitutes a breach of these Terms. Peace & Harmony reserves the right to respond to and dispute any chargeback with documentation of your agreement and consent, to suspend or terminate services, and to recover any resulting fees, costs, and outstanding balances owed, including reasonable collection costs.
14Confidentiality
Both parties agree to maintain the confidentiality of all proprietary, non public, or sensitive information disclosed during the engagement. Confidential information does not include information that is publicly available, already known to the receiving party without obligation, independently developed without reference to confidential information, or required to be disclosed by law.
Peace & Harmony may reference anonymized or aggregated engagement outcomes for educational or marketing purposes without revealing Client identity. Use of a Client's name, logo, or attributed testimonial requires the Client's prior written permission or a permission expressly granted in the Engagement Agreement.
15Non Solicitation of Personnel
During any engagement and for twelve (12) months after it ends, the Client agrees not to directly or indirectly solicit for employment or engagement any employee or contractor of Peace & Harmony who performed work for the Client, without prior written consent. General public job postings not targeted at such individuals are not a violation of this section.
16Communications & Consent
By providing contact information to Peace & Harmony, including phone numbers and email addresses, you expressly consent to receive communications related to services, scheduling, operational updates, reminders, educational content, and business notices. Consent to receive text messages is not a condition of purchase. Message frequency may vary. Message and data rates may apply. You may opt out of SMS communications at any time by replying STOP. For assistance, reply HELP or contact [email protected]. Peace & Harmony maintains messaging practices consistent with A2P 10DLC standards and applicable telecommunications regulations, and does not sell or share mobile information with third parties for their own marketing purposes. See our Privacy Policy for details.
17Acceptable Use
You agree not to use the services or any materials provided to engage in unlawful activity, to send unsolicited or non consented marketing messages, to misrepresent your identity or business, to infringe the intellectual property or privacy rights of others, to attempt to gain unauthorized access to any system, or to interfere with the operation of any platform used to deliver the services. Peace & Harmony may decline or discontinue work that it reasonably believes would violate this section, applicable law, or a platform's terms of service.
18Affiliate Disclosure
Some links provided by Peace & Harmony, including within our guides, emails, and website, are affiliate links. Peace & Harmony may earn a commission, at no additional cost to you, if you sign up for or purchase a product or service through those links. We only recommend tools we believe provide value, and earning a commission does not influence the price you pay or our recommendation. This disclosure is provided in accordance with United States Federal Trade Commission guidelines.
19Disclaimer of Warranties
All services, materials, and communications are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non infringement. Peace & Harmony does not warrant that the services or any system built will be uninterrupted, error free, or that any particular result will be achieved.
20Limitation of Liability
To the fullest extent permitted by law, Peace & Harmony shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or related to the services, materials, communications, or guidance, even if advised of the possibility of such damages.
To the fullest extent permitted by law, the total aggregate liability of Peace & Harmony for all claims arising out of or related to an engagement shall not exceed the amount actually paid by the Client to Peace & Harmony for that engagement during the six (6) months preceding the event giving rise to the claim.
21Indemnification
The Client agrees to indemnify, defend, and hold harmless Peace & Harmony, its owners, officers, contractors, agents, and affiliates from any and all claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from the Client's business operations, the Client Data, the Client's marketing or messaging practices and consent records, the Client's implementation decisions, the Client's regulatory or licensing violations, the Client's misuse of materials, or the Client's breach of these Terms.
22Third Party Tools & Links
The services may reference, integrate with, or link to third party tools, platforms, or websites that Peace & Harmony does not own or control. Peace & Harmony is not responsible for the content, products, practices, security, or availability of any third party, and your use of any third party service is at your own risk and subject to that third party's own terms and policies.
23Termination
Peace & Harmony may suspend or terminate services at its discretion for non payment, misconduct, abusive or threatening behavior toward its team, misuse of intellectual property, unlawful activity, or violation of these Terms. Either party may terminate a recurring engagement in accordance with the notice provisions above.
Termination does not relieve the Client of payment obligations for work performed or periods already billed, nor of confidentiality, intellectual property, non solicitation, or indemnification duties, all of which survive termination.
24Force Majeure
Peace & Harmony shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, serious illness, labor disputes, utility, internet, platform, or communications failures, governmental actions, or public health emergencies.
25Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.
The parties agree to first attempt in good faith to resolve any dispute through direct negotiation for a period of thirty (30) days after written notice of the dispute. If the dispute is not resolved, either party may bring the matter in the state or federal courts located in Philadelphia County, Pennsylvania, and both parties consent to the exclusive jurisdiction and venue of those courts.
Each party is responsible for its own attorneys' fees and costs unless otherwise awarded by the court or expressly provided in these Terms.
26General Provisions
If any provision of these Terms is found unlawful, void, or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect. Failure to enforce any right or provision is not a waiver of it. The Client may not assign or transfer these Terms without prior written consent; Peace & Harmony may assign its rights and obligations in connection with a merger, acquisition, or sale of assets. The parties are independent contractors, and nothing here creates a partnership, joint venture, agency, or employment relationship.
These Terms, together with the Client's Engagement Agreement and the Privacy Policy, constitute the entire agreement between the parties and supersede all prior agreements, communications, and representations, whether written or oral. Peace & Harmony reserves the right to modify these Terms at any time, with changes effective upon posting. Material changes affecting an active engagement will be communicated to the Client in writing. Continued use of the services constitutes acceptance of the revised Terms.
